This Agreement is made and entered into by and between the Association of Clinical Research Professionals ("ACRP"), a Virginia not-for-profit corporation with offices at 610 Madison Street, Suite 101 - #613, Alexandria, VA 22314, and the individual designated to complete the form ("Speaker"). I. Event Specific Details A. The Speaker shall participate in a moderated panel session, panel discussion, or individual presentation at the ACRP 2026 Annual Conference in Orlando, Florida, on FRIDAY, April 24, – MONDAY, April 27, 2026 (the "Event"). B. If ACRP requests slides, the Speaker shall use the presentation template and logos provided to the Speaker by ACRP for any presentation and/or handouts the Speaker may use in connection with the program. Speaker agrees only to use the templates and logos as provided by ACRP and in accordance with its branding guidelines and not in any way except in connection with this or other ACRP programs. II. General Terms and Conditions With respect to the Speaker's participation in the Event: A. Speaker understands that they must own the copyright in all materials or must have obtained the right to use the materials —provided for or created by Speaker—created specifically for ACRP’s use or materials incorporating ACRP’s intellectual property. To the extent the Speaker provides their own intellectual property to ACRP for use in the Event, Speaker grants ACRP a perpetual, nonexclusive, worldwide, royalty-free license to use, reproduce, and distribute the intellectual property in connection with the Event in any medium determined by ACRP; B. To the best of the Speaker’s knowledge, their presentation does not violate any proprietary or personal rights of others (including, but not limited to, any copyright, trademark, or privacy rights), is factually accurate, and contains nothing defamatory or otherwise unlawful or inappropriate. C. The Speaker has obtained all necessary licenses and permission for any third-party intellectual property, including music, video, or other media shown as part of the Speaker’s presentation. D. Speaker grants ACRP and its agents, licensees, members, and employees a royalty-free, perpetual license to publish, reproduce, or otherwise use the Speaker’s name, picture, likeness, comments, and voice for any lawful purpose in all media in connection with the Event; E. ACRP reserves the right to take photographs and to record any presentations in audio, audio-visual, or other media; to display, edit, duplicate, and distribute presentations as they appear in these recordings, in perpetuity and throughout the world in any medium now known or later developed, without any obligation to pay royalties; and to use the names, titles, images, and likenesses in connection with these recordings and any accompanying materials as it sees fit, including further publication or distribution. F. The Speaker is knowingly and voluntarily taking part in the activities for which their image is being captured and understands the associated requirements; G. Speaker shall conduct themselves professionally and civilly and in accordance with ACRP’s Code of Ethics; H. The Speaker agrees that no portion of the resulting media created at the Event, containing the Speaker’s name, biographical information, quotes, photographs, or recorded interviews, needs to be submitted for any approval. I. The Parties agree that the relationship between them shall be as independent contractors. Speaker and ACRP agree that this Agreement is not intended to create any joint venture, partnership, employee/employer relationship or agency relationship of any kind. III. Statement of Independence from Commercial Influence Continuing Education activities are key for professional development in the clinical research industry. It is important that the educational material, sessions, courses, etc. that ACRP provides is absent of any commercial influence and strictly educational in nature. The following is a list of criteria that must be followed for all presenters, speakers, trainers, writers, and anyone else providing content for ACRP. A. Content must be educational in nature and focus on the practice, roles, and responsibilities within clinical research, preferably to the Core Competencies and Hot Topics within the clinical research industry. B. Clinical Research product or service promotion of any type is prohibited. For Presentations, company logos are only allowed on the first and last slide of the presentation. C. No websites, logos, company initials, or promotion of any kind can be inserted in the body of the content/presentation. D. When reporting projects, case studies, etc. the name, logo, or information pertaining to a company or institution that may have been involved with the project cannot be displayed. IV. Non-Discrimination ACRP prohibits discrimination, harassment, or bullying against any person because of age, ancestry, color, disability, handicap, national origin, race, religion, gender, sexual or affectional orientation, gender identity, appearance, matriculation, political affiliation, marital status, veteran status, or any other characteristic protected by law. ACRP expects that the Speaker shall maintain an environment free of discrimination, including harassing, bullying, or retaliation, when and wherever those individuals conduct ACRP business or participate in ACRP events or activities. V. Indemnification A. The Speaker shall indemnify, release, defend, and hold harmless ACRP, its directors, officers, and employees from and against any and all claims, demands, causes of action, losses, damages, liabilities, costs, and expenses, including without limitation, reasonable Attorney’s fees and cost, arising out of third party claim, action, or proceeding, based directly or indirectly on any breach of Speakers warranties contained herein or arising from relating to Speaker’s performance under this Agreement. B. ACRP shall indemnify, release, defend, and hold harmless the Speaker from and against any and all claims, demands, causes of action, losses, damages, liabilities, costs, and expenses, including, without limitation, reasonable attorney’s fees and costs arising out of third party claim, action or proceeding, based directly or indirectly on any breach of ACRP’s warranties contained herein or arising from relating to ACRP’s performance under this Agreement. C. Speaker agrees to indemnify and hold harmless ACRP against any third party claims of any violations of the intellectual property rights in the provision of materials and services under this Agreement. VI. Compensation and Expenses No travel, food, or lodging expenses will be reimbursed unless arranged with the ACRP CEO, CLO and/or Director of Engagement & Experience. VII. Cancellation and Force Majeure A. Speaker agrees to notify ACRP immediately if an emergency prevents them from meeting their obligation as a session speaker. Any substitution of a new speaker shall require ACRP’s written consent. B. None of the parties shall be liable to the other party for any delay or failure to perform arising out of causes beyond its reasonable control, including, but not limited to, government authority, riots, epidemics, unusually severe weather, fire, floods, war, terrorism, embargoes, labor disputes, or strikes. VIII. Signature A. The Speaker understands that their invitation to participate can be revoked at ACRP’s sole discretion if the Speaker fails to comply with any of the above obligations. B. The Speaker acknowledges that they have read and understand this document and what it means with respect to their participation. Speaker warrants, represents, and agrees that they have the full power and authority to enter into this Agreement and has obtained all necessary permissions or licenses from any individuals or organizations prior to the Speaker’s presentation. |
